Proficircle est une plateforme num\u00e9rique en ligne qui met en relation des prestataires de services et des vendeurs de produits avec des utilisateurs en facilitant les appels d'offres ou les ventes directes entre eux. L'acc\u00e8s et\/ou l'utilisation de la plateforme Proficircle, qui comprend l'application Proficircle et l'acc\u00e8s au site Internet www.Proficircle.com (la \u00ab plateforme Proficircle \u00bb), s'effectue conform\u00e9ment aux dispositions des pr\u00e9sentes Conditions G\u00e9n\u00e9rales (les \u00ab Conditions \u00bb). \u00c0 cet \u00e9gard, en acc\u00e9dant \u00e0 la plateforme Proficircle, vous exprimez votre approbation explicite des Conditions sans avoir besoin de formalit\u00e9s suppl\u00e9mentaires. Si vous n'\u00eates pas d'accord avec les dispositions des Conditions, nous vous demandons de cesser imm\u00e9diatement d'utiliser la plateforme Proficircle, sauf accord contraire \u00e9crit avec un fournisseur sp\u00e9cifique ou pour l'appel d'offres en question.<\/p>\n\n\n\n
1) \u00ab Soci\u00e9t\u00e9 \u00bb, \u00ab Nous \u00bb ou \u00ab notre \u00bb d\u00e9signe la soci\u00e9t\u00e9 Proficircle SA, personne morale suisse, dont le si\u00e8ge social est situ\u00e9 rue du M\u00f4le 1, 2000 Neuch\u00e2tel, Suisse, inscrite au Registre du commerce sous le num\u00e9ro CHE-101.662.121 ;<\/p>\n\n\n\n
2) \u00ab Acheteur \u00bb d\u00e9signe toute personne morale inscrite et utilisant la plateforme Proficircle en acceptant les pr\u00e9sentes Conditions G\u00e9n\u00e9rales et souhaitant acheter des biens aupr\u00e8s des Vendeurs ou b\u00e9n\u00e9ficier des services fournis par les Fournisseurs inscrits sur la plateforme Proficircle ;<\/p>\n\n\n\n
3) \u00ab Fournisseur \u00bb d\u00e9signe toute personne morale inscrite sur la plateforme Proficircle pour fournir des services aux Acheteurs, suivant les proc\u00e9dures d\u00e9finies sur la plateforme pour l'appel d'offres ou la vente directe qui a lieu au sein de la Plateforme ;<\/p>\n\n\n\n
4) \u00ab Vendeur \u00bb d\u00e9signe toute personne morale inscrite sur la plateforme Proficircle pour vendre des biens aux Acheteurs, en suivant les proc\u00e9dures d\u00e9finies sur la plateforme pour l'appel d'offres ou la vente directe qui a lieu au sein de la Plateforme ;<\/p>\n\n\n\n
5) \u00ab Utilisateur \u00bb d\u00e9signe l\u2019Acheteur, le Fournisseur ou le Vendeur. Toute disposition faisant r\u00e9f\u00e9rence \u00e0 la notion d\u2019Utilisateur s\u2019applique aux trois cat\u00e9gories.<\/p>\n\n\n\n
1.2. Afin d'avoir acc\u00e8s \u00e0 toutes les fonctionnalit\u00e9s disponibles pour chaque type d'Utilisateur, \u00e0 savoir l'Acheteur, le Fournisseur ou le Vendeur, vous devez vous connecter et cr\u00e9er un Compte Utilisateur sur notre Plateforme, remplir les champs obligatoires et s\u00e9lectionner la cat\u00e9gorie\/type de produit ou service qui vous est applicable.<\/p>\n\n\n\n
1.3. Afin de cr\u00e9er le compte utilisateur, nous avons besoin, entre autres, de votre nom et pr\u00e9nom, de votre adresse e-mail et de votre num\u00e9ro de t\u00e9l\u00e9phone. Vous devez fournir des informations exactes, actuelles et compl\u00e8tes pour que le compte utilisateur soit cr\u00e9\u00e9.<\/p>\n\n\n\n
1.4. Il est interdit d'utiliser les comptes d'autres personnes pour se connecter \u00e0 la plateforme Proficircle.<\/p>\n\n\n\n
1.5. Lorsque vous utilisez le compte utilisateur, vous devez prendre les pr\u00e9cautions suivantes :<\/p>\n\n\n\n
(i) choisissez un mot de passe fort\u00a0;<\/p>\n\n\n\n
(ii) conserver et mettre \u00e0 jour rapidement, si n\u00e9cessaire, les informations du Compte Utilisateur ;<\/p>\n\n\n\n
(iii) prot\u00e9ger les donn\u00e9es d\u2019identification de votre Compte Utilisateur et l\u2019acc\u00e8s \u00e0 votre Compte.<\/p>\n\n\n\n
1.6. Vous confirmez et acceptez que vous \u00eates responsable de toutes les activit\u00e9s se d\u00e9roulant sur votre Compte Utilisateur et vous acceptez tous les risques li\u00e9s \u00e0 tout acc\u00e8s autoris\u00e9 ou non autoris\u00e9 \u00e0 votre Compte Utilisateur, dans la mesure o\u00f9 la loi le permet.<\/p>\n\n\n\n
2.1. The Company offers the Buyer, based on the account created, access to the Proficircle platform where it may buy goods from the Sellers and\/or benefit from the services provided by the Suppliers.<\/p>\n\n\n\n
2.2. Any sale of goods by the Sellers or provision of services by the Suppliers is subject to the provisions of these Terms.<\/p>\n\n\n\n
2.3. The procedure related to the tender taking place on the Proficircle platform is as follows:<\/p>\n\n\n\n
\u20031) The Buyer sends a request through the contact form, with the possibility of attaching a drawing of the warehouse or room and a detailed request, which will be assigned to a Technical Consultant (\u201cCT\u201d).<\/p>\n\n\n\n
\u20032) The Buyer must register an account on the Proficircle Platform.<\/p>\n\n\n\n
\u20033) After being contacted by the CT, the Buyer uploads a Request for Projection (\u201cRFP\u201d) on the Proficircle platform, containing all details of the project. Alternatively, the Buyer may fill in an RFP template. Where necessary, the CT may offer technical assistance in filling in the RFP.<\/p>\n\n\n\n
\u20034) The designer, either appointed by the CT or chosen by the Buyer, shall review and amend the RFP where necessary. Subsequently, the final version of the RFP must be signed by the Buyer.<\/p>\n\n\n\n
\u20035) The Buyer establishes the terms and conditions of the tender for the services and\/or goods.<\/p>\n\n\n\n
\u20036) Through the Proficircle Platform, Suppliers and\/or Sellers deemed most appropriate, in the Buyer\u2019s opinion, to fulfill the tender\u2019s terms and conditions are invited to the tender. Alternatively, the Buyer may designate certain Suppliers and\/or Sellers. The invitation for tender may also be made to service providers or sellers of goods who do not have an account on the Proficircle Platform, at the Buyer\u2019s discretion.<\/p>\n\n\n\n
\u20037) The Suppliers and\/or Sellers, after receiving the invitation, must confirm their participation in the tender and send the offers in response to the Buyer\u2019s requests.<\/p>\n\n\n\n
\u20038) The offers must contain information regarding the costs for transportation and installation, mounting or software, as applicable. The offers must also include a brief description of parameters such as equipment price, product weight, goods volume, color, material type, guarantee period, optional post-sale services, quality certificates, manufacture duration, transportation and installation duration, a preliminary version of the respective agreement, and the corresponding offer.<\/p>\n\n\n\n
\u20039) The tender may last between 2 and 30 working days.<\/p>\n\n\n\n
\u200310) At the end of the tender, the Buyer may choose one of the 3\u20135 best offers, organized based on the parameters previously selected by the Buyer.<\/p>\n\n\n\n
\u200311) Following notification of the tender winner, the Buyer and the Supplier or Seller shall sign the agreement\/PO. The Parties may use the agreement models proposed by the Proficircle Platform, to be modified according to the commercial terms agreed between them.<\/p>\n\n\n\n
2.4. As an alternative to the provisions in Article 2.3, the Buyer may choose to buy goods directly from the Sellers through direct acquisition. If the tender option is chosen by the Buyer, the Buyer may not simultaneously engage in a direct acquisition procedure with the Suppliers or Sellers participating in the tender. If, despite participating in the tender, the Buyer trades directly with the Supplier and\/or Seller, then, pursuant to the penalty clause herein, the Supplier and\/or Seller shall be obliged to pay in full the fee related to the respective transaction within 5 business days. The Supplier and\/or Seller shall be liable for even the slightest fault, without the need to prove the existence of any prejudice. The fee is calculated according to the provisions of Article 3 of these Terms.<\/p>\n\n\n\n
2.5. As a result of the steps indicated above, the Company, via the Proficircle Platform, has access to and processes certain information contained in the electronic accounts of registered Buyers, Suppliers, and Sellers, in accordance with the provisions of the Confidentiality Policy accessible on Proficircle.<\/p>\n\n\n\n
2.6. During the use of the Proficircle Platform, the User may at any time:<\/p>\n\n\n\n
\u20031) add, modify, or erase the RFP from their account;<\/p>\n\n\n\n
\u20032) add or change credit card details used for making payments;<\/p>\n\n\n\n
\u20033) access the settings, where more details about the Proficircle Platform may be read;<\/p>\n\n\n\n
\u20034) view the history of transactions;<\/p>\n\n\n\n
\u20035) modify the price plan (\u201cSubscription\u201d) on which they use the Proficircle Platform by switching to a higher or lower plan, as applicable.<\/p>\n\n\n\n
2.7. The User is responsible for keeping the identification and connection data related to their account in a safe and secure place to prevent or reduce the chances of unauthorized access to the account created on the Proficircle Platform.<\/p>\n\n\n\n
2.8. If, during the use of the Proficircle Platform, the User notices any elements that might indicate the inappropriate functioning of the Platform, they may notify the Company by sending an email to contact@proficircle.com.<\/p>\n\n\n\n
2.9. Insofar as the personal data provided by the User upon registering on the Proficircle Platform are false, inaccurate, or incomplete, the Company may, upon direct observation or notice thereof, cancel or temporarily suspend the User\u2019s access to their account or the operations conducted within that account, in whole or in part, or refuse to supply any or all services available on the Proficircle Platform.<\/p>\n\n\n\n
2.10. The Company is not a party to the contract for the sale of goods or the provision of services concluded between the Buyer and the Supplier or Seller. For clarity, please refer to the provisions of Chapter 5 on Limitation of Liability.<\/p>\n\n\n\n
3.1. The use of the Proficircle platform may be done for free, pursuant to a trial account, or against the payment of a subscription, depending on the functionalities the User wants to access.<\/p>\n\n\n\n
3.2. The price due for each type of subscription may be consulted at Proficircle<\/a>.<\/p>\n\n\n\n
